Terms of Use

  1. Scope of Agreement


    These Terms & Conditions (“T&Cs”) govern all quotations, sales, and deliveries of products manufactured by Serflex (“Seller”) to the customer (“Buyer”), unless otherwise agreed to in writing.

  2. Quotations & Orders

  • Quotations are valid for 30 days unless otherwise stated.
  • Orders are subject to Seller’s acceptance and written confirmation.
  • No changes, cancellations, or reschedules are binding without Seller’s written approval.

  1. Pricing & Payment

  • Prices are in U.S. Dollars unless otherwise specified.
  • Payment terms: Net 30 days from invoice date, unless otherwise agreed in writing.
  • Past due invoices may incur interest at 1.5% per month or the maximum rate allowed by law.
  • Buyer is responsible for all applicable taxes, duties, or fees.

  1. Delivery & Lead Times

  • Shipping dates are estimates and not guarantees.
  • Seller is not liable for delays caused by force majeure, material shortages, or circumstances beyond its control.
  • Risk of loss transfers to Buyer upon shipment (FOB Origin unless otherwise agreed).

  1. Inspection & Acceptance

  • Buyer shall inspect products within 10 business days of receipt.
  • Claims for shortages, defects, or nonconformance must be made in writing within this period.
  • Failure to notify Seller constitutes acceptance of the goods.

  1. Warranty

  • Seller warrants that products will conform to specifications at the time of shipment.
  • Warranty period: 12 months from date of shipment.
  • Seller’s liability is limited to repair, replacement, or credit at Seller’s discretion.
  • Warranty does not cover damage from misuse, improper handling, assembly, or operation outside of design specifications.

  1. Returns

  • No returns accepted without prior written authorization (RMA required).
  • Unauthorized returns may be refused at Buyer’s expense.

  1. Intellectual Property

  • Designs, drawings, and tooling provided by Buyer remain Buyer’s property.
  • Any proprietary manufacturing processes, know-how, or improvements developed by Seller remain Seller’s property.

  1. Export Compliance

  • Buyer acknowledges that products may be subject to U.S. export control laws, including ITAR and EAR.
  • Buyer agrees not to export or transfer products without required U.S. government authorization.

  1. Limitation of Liability

  • Seller is not liable for incidental, consequential, or indirect damages, including lost profits or downtime.
  • Seller’s total liability shall not exceed the purchase price of the specific products giving rise to the claim.

  1. Governing Law & Venue

  • These T&Cs are governed by the laws of the State of California, without regard to conflict of laws.
  • Any disputes shall be resolved in the courts of Los Angeles County, California.

  1. Entire Agreement

  • These T&Cs, along with Seller’s order acknowledgment, constitute the entire agreement between Seller and Buyer.
  • Any conflicting Buyer terms are expressly rejected unless agreed to in writing.
